Terms of Service

1. Agreement Overview

This Master Service Agreement ("Agreement") is a binding contract between Global Lead Refinery ("Company", "We") and the entity or individual subscribing to our services ("Subscriber", "You").

By accessing our platform or data feeds, you acknowledge that you have read, understood, and agree to be bound by these terms. If you are entering into this Agreement on behalf of a company, you represent that you have the authority to bind such entity.

2. Service Description

We provide B2B lead generation data services, aggregating information from public business registries (including the UK Companies House API) and other open sources. Our service delivers daily CSV data feeds containing business contact information filtered by our proprietary algorithms.

3. Subscription & Billing

  • Recurring Billing: Services are billed on a monthly recurring basis via Gumroad.
  • Automatic Renewal: Your subscription automatically renews at the end of each billing cycle unless cancelled.
  • Taxes: You are responsible for all applicable taxes (VAT, GST) based on your location.

4. Cancellation Policy

IMPORTANT NOTICE

Please manage your subscription via the Gumroad User Dashboard to ensure timely processing before your renewal date.

  • Method: Cancellations must be initiated through the Gumroad platform.
  • Timing: To avoid being charged for the next cycle, please cancel at least 24 hours before your renewal timestamp.
  • Effect: Access continues until the end of the current billing period.

5. Refund Policy

  • All Sales Final: Due to the irrevocable nature of digital data, all sales are final once the subscription is purchased.
  • Exceptions: We may consider refunds in cases of proven technical failure where data was not delivered, at our sole discretion.
  • Disputes: Please contact support before filing a dispute. Unauthorized chargebacks may result in account termination.

6. Data Quality & Replacement Policy

We offer a 1-to-1 replacement guarantee for invalid data under specific conditions:

  • Eligibility: "Hard Bounces" (Technical SMTP 5xx Errors, e.g., "550 5.1.1 User unknown") reported within 72 hours of delivery.
  • Exclusions: Soft bounces (e.g., full mailbox), catch-all addresses, or subjective "bad fit" assessments.

7. License & Permitted Use

We grant you a non-exclusive, non-transferable, revocable license to use the Data for your internal business purposes, including marketing and sales outreach, subject to compliance with applicable laws.

8. Acceptable Use Policy

You strictly agree NOT to:

  • Resell, sub-license, publish, or redistribute the raw data to third parties.
  • Use the data for spamming, harassment, or any unlawful purpose.
  • Attempt to scrape, reverse engineer, or bypass our security measures.
  • Share your account credentials with unauthorized users.

9. Intellectual Property Rights

The Company retains all rights, title, and interest in the Service, including our proprietary data generation algorithms, software, and website content. You retain ownership of your customer data and any enriched data you create.

10. Service Level Commitment

We use commercially reasonable efforts to ensure the Service is available 99% of the time ("Best Effort"). This is not a formal SLA with financial penalties. In the event of significant downtime, we may provide service credits at our sole discretion.

11. User Responsibilities

You are responsible for ensuring your use of the data complies with all applicable laws, including GDPR, CAN-SPAM, and PECR. You must maintain a valid opt-out mechanism in your marketing communications.

12. Disclaimer of Warranties

THE SERVICE AND DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE".

We verify data at the moment of generation ("Snapshot in Time"). We expressly disclaim all warranties, express or implied, regarding the accuracy, freshness, or completeness of the data after delivery.

13. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will the Company be liable for any indirect, special, incidental, or consequential damages (including lost profits).

The Company's total aggregate liability for any claim arising out of or relating to this Agreement shall strictly NOT exceed the amount paid by You to the Company in the ONE (1) MONTH immediately preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, or expenses arising from your use of the data, your violation of this Agreement, or your violation of any third-party rights.

15. Export Compliance

You represent that you are not located in a country subject to U.S., UK, or Indian government embargo, and that you are not a prohibited user under applicable export control laws.

16. Account Termination

We reserve the right to suspend or terminate your account for violations of this Agreement. We employ a graduated enforcement policy (Warning → Suspension → Termination), but severe violations may result in immediate termination without refund.

17. Modification of Terms

We may modify these terms at any time. For material changes, we will provide at least 30 days' notice via email or website banner. Continued use constitutes acceptance.

18. Force Majeure

We are not liable for failure to perform due to causes beyond our reasonable control, including acts of God, pandemics, war, internet service provider failures, or denial of service attacks.

19. General Provisions

  • Severability: If any provision is unenforceable, the rest remain in effect.
  • Assignment: You may not assign this Agreement without our consent.
  • Entire Agreement: This is the complete agreement between the parties.

20. Dispute Resolution

This Agreement is governed by the laws of India.

  • Informal Resolution: Parties agree to attempt to resolve disputes informally for 30 days.
  • Arbitration: Unresolved disputes shall be settled by binding arbitration. For international customers, we offer remote arbitration options.
  • Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class action.
